Live2D Commission Agreement

1. 作品内容 / Artwork Content

●委托人应提供详细的角色设定、外观设计及需求说明，并确保所有提供的资料不涉及侵犯第三方知识产权（如版权、商标等）。如委托人提供的资料涉及侵权，创作者不承担任何相关责任。
-The client should provide detailed character settings, appearance design, and requirements, and ensure that the provided materials do not infringe upon the intellectual property rights of third parties (such as copyrights, trademarks, etc.). If the provided materials infringe, the creator is not responsible for any related issues.

2. 价格与付款 / Pricing and Payment

●具体价格将根据项目的复杂程度和委托人的需求确定，最终价格将在双方沟通后确认。最终价格已包含vgen平台的服务费。
-The specific price will be determined based on the complexity of the project and the client's requirements, and the final price will be confirmed after communication. The final price includes the service fee of the vgen platform.●委托人需在创作开始前支付总金额的至少20%作为定金，或选择全额支付。
-The client must pay at least 20% of the total amount as a deposit before the creation starts or choose to pay the full amount.●若委托人同意创作者在保密期结束后发布并盈利作品的制作过程，并且委托人是画师或已获得画师的许可，委托人可享受折扣优惠。
-If the client agrees to allow the creator to publish and profit from the production process after the confidentiality period ends, and the client is the artist or has obtained the artist's permission, the client will receive a discount.

3. 修改次数 / Revisions

●在项目创作过程中，委托人可免费提出3次小范围修改。若为Vtuber套装，提供合计6次修改，其中绘制阶段为3次，建模阶段为3次。
-During the project creation process, the client may request up to 3 minor revisions for free.For Vtuber packages, a total of 6 revisions are allowed, with 3 during the drawing stage and 3 during the rigging stage.
小范围修改包括但不限于以下类型：
-Minor revisions include, but are not limited to, the following types:
√增加或减少部件：如增加配饰、衣物细节或其他小物件；-Adding or removing small parts, such as adding accessories, clothing details, or other small objects.
√细微调整部件位置：如微调头发、眼睛、衣物等部位的位置；-Minor adjustments to the position of parts, such as fine-tuning the placement of hair, eyes, clothing, etc.
√调整物理大小：如物品、配饰等部件的尺寸调整。-Adjusting physical size, such as resizing items or accessories.
●不支持的修改类型包括但不限于以下类型：
-Unsupported modification types include, but are not limited to, the following types:
×重新绘制服饰、发型等：如要求完全重新设计或重绘衣服、发型、面部特征等。-Redrawing clothing, hairstyles, etc., such as requests to completely redesign or redraw clothing, hairstyles, facial features, etc.
×重新制作部件的建模：如需要重新制作角色或物件的建模。-Recreating part modeling, such as requests for remaking character or object modeling.●超出免费修改次数后的收费：每次修改将按总费用的10%收取。
-Charges for revisions beyond the free limit:Each additional revision will be charged 10% of the total fee.●免费修改次数用尽后，若项目无法顺利推进至下一阶段创作，创作者有权中止合作，且已收取的费用不予退还。
-After the free revisions are exhausted, if the project cannot proceed to the next stage, the creator has the right to terminate the collaboration, and the fees already paid will not be refunded.修改反馈方式 / Revision Feedback Methods:

4. 委托过程 / Project Process

●如果委托人有健康问题，应在委托前告知创作者，双方将共同评估是否能够顺利进行合作。
-If the client has health issues, they should inform the creator before commissioning, and both parties will assess whether the project can proceed smoothly.●若委托人过程中突发健康问题，委托人应及时与创作者沟通，并协商调整项目进度。若健康问题影响项目进度，双方可协商延长交付时间及调整工作安排。
-If the client experiences a sudden health issue during the project, they should communicate with the creator promptly and discuss adjustments to the project schedule. If the health issue affects the project's progress, both parties can negotiate to extend the delivery time and adjust work arrangements.●委托人应在遇到任何可能影响项目进度的因素时，尽早通知创作者。若创作者无法按时交付或无法继续合作，创作者也应及时通知委托人，并共同商讨解决方案。
-The client should inform the creator as early as possible if any factors may affect the project's progress. If the creator is unable to deliver on time or continue the collaboration, the creator should also notify the client promptly and discuss a solution together.●双方应在不可抗力发生后尽快通知对方，并协商后续处理方式。在不可抗力期间，创作者与委托人应保持沟通，及时讨论是否需要调整项目进度或费用。
不可抗力 : 不可抗力事件包括但不限于自然灾害、战争、疫情等不可预见的事件。
-Both parties should notify each other as soon as possible after the occurrence of a force majeure event and negotiate how to proceed. During this period, the creator and client should maintain communication to discuss whether project timelines or fees need to be adjusted.
Force Majeure: Force majeure events include but are not limited to natural disasters, wars, pandemics, and other unforeseeable events.●委托人应在创作者提交进度更新后24小时内提供反馈或确认反馈时间。如未能及时回应，创作者将在24小时后再次联系委托人；若在提交更新进度后2个自然日内依然未收到任何回应，创作者有权中止合作。若在提交进度更新后的7个自然日内（包括无响应时间）未收到反馈，创作者有权中止合作。
-The client should provide feedback within 24 hours of the creator's progress update or confirm the feedback time. If no response is received in a timely manner, the creator will contact the client again after 24 hours. If no response is received within 2 calendar days after submitting the progress update, the creator has the right to terminate the collaboration. If no feedback is received within 7 calendar days (including non-response time) after the progress update, the creator has the right to terminate the collaboration.●若因委托人未按时回复或未提供必要信息，导致项目延迟，创作者不承担因此产生的任何损失，包括交付延期和费用调整等。
-If the client fails to respond on time or provide necessary information, causing a delay in the project, the creator will not be responsible for any resulting losses, including delivery delays and cost adjustments.

5. 使用权与版权 / Usage Rights and Copyright

●作品的版权归创作者所有。未经许可，委托人不得将作品转售。
-The copyright of the work belongs to the creator. Without permission, the client may not resell the work.●委托人可以在网络上公开展示作品，但需注明作者署名。
-The client may publicly display the work online, but must credit the creator.●创作者在保密期结束后可以公开展示作品，但需注明委托人。
-The creator may publicly display the work after the confidentiality period ends but must credit the client.●若委托人希望获得工程文件（.cmo3/.can3）或完全保密或版权，需支付额外费用。具体费用会根据使用范围、用途及其他相关要求进行商定。
-If the client wishes to obtain the project files (.cmo3/.can3) or full confidentiality or copyright, an additional fee will be charged. The specific fee will be negotiated based on usage, purpose, and other related requirements.

6. 交付时间 / Deadlines and Delivery

●最终文件包含PSD/.moc3文件/PSD&.moc3文件。
-The final files will include PSD/.moc3 files/PSD & .moc3 files.●具体交付时间根据工作量和双方沟通情况确定，通常为档期排到以后7至45天。
-The specific delivery time will be determined based on the workload and communication between both parties, typically ranging from 7 to 45 days.●如需加急，将加收每个月50%的费用。创作者有权拒绝加急需求。
-If an expedited service is required, an additional 50% fee per month will apply. The creator has the right to refuse expedited requests.

7. 取消与退款 / Cancellation and Refunds

●确认委托后，20%的定金不可退回。
-Once the commission is confirmed, the 20% deposit is non-refundable.●如果创作者在合作过程中，认为委托人健康问题严重影响项目的正常进行，创作者有权中止合作，且已支付的费用将不予退还。
-If the creator determines that the client's health issues severely impact the normal progress of the project, the creator has the right to terminate the collaboration, and the fees already paid will not be refunded.●若由于不可抗力或双方原因导致项目无法继续，创作者和委托人应友好协商退款比例，退款金额将根据工作进度和已完成部分进行合理调整。已完成的工作内容及相关手续费不予退还。
-If the project cannot continue due to force majeure or reasons attributable to either party, the creator and client should amicably negotiate the refund proportion. The refund will be adjusted based on the work completed and the progress made. Completed work and related service fees will not be refunded.●在项目终止后，若委托人已收到退款，创作者有权对已完成的作品进行修改，包括但不限于修改颜色、背景、服装等设计元素，并将其转售。
-After the project is terminated and the client has received a refund, the creator has the right to modify the completed work, including but not limited to changes to colors, backgrounds, costumes, etc., and resell it.

8. 争议解决 / Dispute Resolution

●若在合作过程中产生争议，双方应通过友好协商解决。如协商未果，双方同意由vgen平台介入处理争议。
-If a dispute arises during the collaboration, both parties should resolve it through friendly negotiation. If the negotiation fails, both parties agree to let the vgen platform intervene in resolving the dispute.

9. 其他条款 / Other Terms

●其他条款将根据对vgen平台的进一步了解进行补充或修改。
